26億美元 KKR併購關係企業KKR Financial

私募基金KKR集團宣布達成協議，將以換股方式併購關係企業KKR Financial（簡稱KFN），把這個專業金融公司納歸旗下，按股價計算交易金額達26億美元。

依據協議，上市公司KFN股東每股可換得KKR 0.51單位的普通股，收購價碼相當於每股12.79美元，較KFN周一收盤價高了35%。為支應這次併購，KKR擬發售新股1億股。

KFN主要投資公司債，資金用於支應KKR和其他私募基金業者在融資併購高峰時期的融資收購案。KFN投資組合逾九成是浮動計息的債券，因此利率走升之際，KFN的資產對KKR的價值會更高。

KKR合夥人納托爾（Scott Nuttall）向分析師說明：「我們一直找辦法把更多現金回饋股東，並充實長期資本和資產負債表。」KKR把整個KFN買下，而非只買其中基金，這表示併購的利潤不必分給基金投資人。
