德金資源(01163.HK)就早前修訂兩項可換股票據的到期日及轉換價事宜作進一步公布，公司稱，已收到各同意持有人給予公司不可撤回承諾中聲明。於本年9月初，公司股東Perfect Direct Limited，就要求公司支付其持有之可換股票據本金額3.39億元之申請，公司董事已將Perfect Direct計作同意持有人之一，故董事會認為Perfect Direct不能因據稱要求而撤回不可撤回承諾。

德金資源指，承諾內容包括不可撤回地及無條件地同意建議修訂；在公司實行建議修訂所需的時間，其將放棄向公司提出申索所有損失彌償及虧損之任何權利；將對公司提出就可換股票據作出任何條款修訂或採納新條款之建議投贊成票。

德金資源早前公布，公司分別簽立河北可換股票據補充契據及山東可換股票據補充契據，以修訂兩項可換股票據的到期日，由2013年5月13日延長三年至2016年5月13日；以及將轉換股價由24元減少至每股0.3元。(ka/w)
