台灣之星併威寶 NCC通過

（中央社記者王靖怡台北17日電）國家通訊傳播委員會（NCC）今天許可通過威寶電信股份有限公司與台灣之星移動電信股份有限公司合併案。

NCC下午舉行例行記者會表示，威寶電信申請與台灣之星移動電信合併討論案，NCC許可兩家公司合併。

威寶電信是3G業者，台灣之星移動電信是4G業者，兩公司合併後直接外資比例不到1%，間接外資投資比例47.119%，全都符合電信法規定。

電信法規定，第一類電信事業董事長應具有中華民國國籍；其外國人直接持有股份總數不得超過49%，外國人直接及間接持有股份總數不得超過60%。

NCC說，合併後台灣之星移動電信為消滅公司，威寶電信為存續公司，威寶電信概括承受新併入的台灣之星4G業務；完成合併後，再將公司更名為台灣之星電信股份有限公司。

NCC表示，原因可能是威寶電信顧客較多，為確保消費者服務品質不中斷、不受影響，還是以威寶電信為存續公司，相對台灣之星顧客少，情況較單純，兩家公司合併完成後再回復名稱為台灣之星。

此外，亞太電信股份有限公司因變更實收資本總額及代表人，申請換發3G業務特許執照討論案，NCC說，亞太電信增資後實收資本約新台幣388億元，合併後亞太電信外資直接持股5.31%、間接持股12.76%，符合電信法相關規定，其他也都符合規定，NCC許可亞太電信申請換發3G業務特許執照。1030917
