經濟部啟動「企業併購法」十年大翻修工程，新法將放寬公司分割及股份轉換對價方式，不僅限發行新股，還可採現金、股份與其他財產支付。此舉將有助企業財務操作更加靈活、有助活絡國內併購市場。
經濟部啟動「企業併購法」十年大翻修工程，新法將放寬公司分割及股份轉換對價方式，不僅限發行新股，還可採現金、股份與其他財產支付。此舉將有助企業財務操作更加靈活、有助活絡國內併購市場。行政院政務委員薛琦本周四（4日）將召開企併法審查會，盼修正案在近期底定，趕在立法院新一會期完成三讀。
企業併購法自2002年上路以來，在2004年時曾「小改版」，但仍遭外界批評趕不上經濟變化與企業需求。近期經濟部重啟企併法翻修工程，全案修正幅度超過二分之一。
根據了解，新舊版企併法最大差異是，新版企併法將回應近年外界期待，包括簡化併購程序、增加併購彈性、准許併購對價選擇多元化與保障投資人權益等，可說是「興利」與「除弊」並舉。
舉例來說，新企併法將放寬公司分割及股份轉換支付對價方式，准以股份、現金或其他財產支付，不再限於發行新股，此舉將有助企業財務彈性運用，增加選擇性。
業內人士分析，對於企業來說，進行併購時，有些偏好以現金方式進行，避免發行新股稀釋股權；有些則因現金出資壓力大，偏好以股換股等，新企併法放寬出資方式之後，將有助企業財務操作更靈活，提高併購意願。
此外，新企併法也將同意符合一定條件的併購案，可簡化或省略股東會召開程序，提升併購效率。
例如，凡母公司持有子公司股權超過九成，母、子公司不論是採行合併、分割或股權轉換時，均可不須召開股東會，通過董事會決議即可。
經濟部昨（1）日也說，企併法翻修，有助改善我國經商環境、提升外來投資意願，也能建構優質企業併購法制，鼓勵併購。
據經濟部統計，自2002年起至2013年5月，國內企業併購件數達1,971件，其中採合併者1,569件、收購46件、股份轉換73件、分割283件，併購金額達9,017億元，企業龐大併購需求可見一斑。

| 8旬翁趴地亡 手腳疑被高溫日曬燙傷起水泡

【王智勇／台南報導】東山區82歲獨居陳姓老翁今下午3時被居家照護員發現趴在屋外空地，經報案，警消到場時陳已死亡，發現他的手腳都有紅腫、起水泡情況，懷疑是因高溫日曬燙傷。警消初步調查，陳翁行動不便，下午疑是以一張塑膠椅當撫助，要收曬在外面的衣服，卻不慎跌倒，但真正死因待查。
