阿里巴巴移動圈地急需補充彈藥

3月16日下午，阿里巴巴發布了一份不足200字的公告，宣佈公司決定啟動在美國的上市事宜。當天，阿里並未公佈股票上市時間和籌資金額，也未明究竟是在紐約證交所(NYSE)或納斯達克證交所(Nasdaq)掛牌。並且，阿里也尚未向美國證券交易委員會(SEC)提交IPO(首次公開招股)檔案。

3月16日下午，阿里巴巴發布了一份不足200字的公告，宣佈公司決定啟動在美國的上市事宜。當天，阿里並未公佈股票上市時間和籌資金額，也未明究竟是在紐約證交所(NYSE)或納斯達克證交所(Nasdaq)掛牌。並且，阿里也尚未向美國證券交易委員會(SEC)提交IPO(首次公開招股)檔案。

合規合法，但總有些不合常理。一般企業上市前都不會公開透露上市信息，而是向SEC提交正式檔案后，才會有信息被披露出來。而阿里是先發官方公告，並未提交正式檔案。結合去年阿里與港交所之間幾個來回的博弈，有些人認為此次公告是對港交所最後的逼宮。行業資深人士葛甲告訴《中國經營報》記者這又是一次炒作：“阿里巴巴向美國提交申請檔案可能是為了向香港監管者施壓，以便讓阿里巴巴獲得它期待的公司治理結構。這是一種經典的監管套利行為，向美國提交檔案只是為了威脅香港。”在他看來，阿里巴巴在美國上市只是一個夢而已，支付寶相關的法律訴訟還沒有結束，淘寶網日后有可能招致的法律訴訟，阿里巴巴200多個子公司和馬雲之間錯綜複雜的關聯交易，美國市場看似接受雙重股權架構實則監管更為嚴格的現狀，都決定了阿里巴巴的最終上市地不可能是美國，監管環境相對寬鬆的香港仍是其唯一選擇。“否則，阿里巴巴直接向SEC提交上市檔案好了，何苦如此煞費苦心，做出一場妾雖有意、郎卻無情的大戲來。”

不過與之前不同的是，之前阿里一直否認決定在哪裏上市，這次是官方明確給出信息，所以更多的人認為阿里這次是“真的”。知名自媒體人王冠雄對記者：“阿里一定會在美國上市。”他認為對於阿里來，去香港上市是控制權的問題，去美國上市是監管問題，“兩害相權取其輕”。在他看來，監管問題是麻煩，但通過法律和公關，終究可以改善，而控制權問題阿里是不可能讓步的。

無論真假，從阿里與港交所隔空對話到這一次公開宣佈，可見阿里上市的急迫感。“不上市沒錢還債，而且業績增長也在放緩。”葛甲認為。阿里近三年營業收入增長率已呈明顯下降趨勢。阿里2011年至2013年營收增長率分別為80%、74%、65%。

2012年5月，阿里巴巴宣佈回購雅虎股票。雅虎與馬雲簽訂協議，阿里以76億美元回購雅虎手中20%阿里股份。並且，阿里巴巴集團有權在IPO之際回購雅虎持有的剩餘股份中的50%。對於將控制權放在第一位的馬雲一定會搶在這個時間節點前完成IPO，拿回股份。

另一方面，從香港私有化到從雅虎手裏回購股份，再到這兩年的瘋狂收購，阿里也迫切需要上市融資。“移動圈地對阿里的資金量是非常大的挑戰，而且圈地還沒有結束。上市融資才能為他進一步戰略併購提供彈藥。”清科研究中心分析師張琦。

對阿里而言，抓住好的時間窗口，從資本市場謀求最高的回報，2014年是其IPO的關鍵當口。在張琦看來，阿里比亞馬遜可講的故事還多，而現在恰逢美國投資者熱情正高，對於阿里150億~200億美元的融資需求是有可能實現的。

目前分析師普遍預期阿里市值已自2013年10月的1200億美元升至1600億美元。其中，高盛(Goldman Saches)、Cantor Fitzgerald、麥格理(Macquarie Group)分別給予1500億美元、1528億美元、2000億美元的估值。阿里2013年實現營收67億美元，毛利49億美元，主營業務利潤31億美元，歸屬阿里凈利潤28億美元。從這些數據可知，阿里如果順利IPO，有可能完成美國資本市場最高IPO融資金額，也有可能成為中國市值最高的互聯網企業。

當然只是“可能”，因為阿里並沒有正式提交IPO申請，更多數字並沒有公開，就連美國是不是其最終的選擇也很難。在這份短短的公告結尾，還有一句意味深長的結束語：“未來條件允許，公司將積極參與回歸國內資本市場，與國內投資者共同分享公司的成長。”

請問各位大家常去日本自由行的專家
預計大約5月份左右東京五天四夜或六天五夜的自由行中來規劃
目前暫定規劃早去晚回或午去晚回
機場應該羽田機場
單購買機票 或機+酒自由行程
請問可以詢問目前那些各大旅行社的機票或機+酒搭配的評價不錯及且服務品質要好，可參考詢問??

到達後搭利木津巴士票可以在旅行社先買好嘛???
搭乘時間也可以請旅行社幫忙預約嘛??

因為還要帶家人希望這幾天最好能都住到同間飯店
還有麻煩請大家推薦交通方便離車站近的住宿。或是如果要換飯店方便的住宿飯店。
(若更好的是希望飯店中有通中文的服務人員)

想去的有迪士尼樂園 、迪士尼海洋  分別各佔一天
(預計應該排在第二及第三天)
